AMG’s subsidiary Graphit Kropfmühl and BASF Sign Innovative Agreement to Reduce Product Carbon Footprint

Amsterdam, 3 July 2024 AMG Critical Materials N.V.’s (“AMG”, EURONEXT AMSTERDAM: “AMG”) subsidiary Graphit Kropfmühl and BASF have entered into an innovative agreement to reduce their product carbon footprint. Under this agreement, BASF will supply renewable energy certificates (so called “Guarantees of Origin”) to Graphit Kropfmühl’s production site in Hauzenberg, Germany.

BASF supports Graphit Kropfmühl, a subsidiary of AMG Critical Materials N.V., with innovative renewable electricity concept:

  • BASF to supply renewable energy certificates to its supplier and partner Graphit Kropfmühl
  • Graphit Kropfmühl to reduce the product carbon footprint (PCF) of graphite produced in Hauzenberg, Germany, by at least 25 percent
  • BASF to use the reduced PCF graphite as raw material for Neopor® with a reduced product carbon footprint

A Guarantee of Origin (“GoO”) certifies that a given amount of power was produced in a particular renewable power plant, thus providing a tangible proof of the usage and source of the renewable power. By using these GoOs, the carbon footprint of graphite produced by Graphit Kropfmühl at the Hauzenberg site will be reduced by at least 25 percent. This graphite will then be used by BASF as a raw material for the production of Neopor®, which will therefore also have a lower product carbon footprint. BASF’s Neopor® is used as raw material for insulation products for buildings.

AMG Critical Materials N.V. Completes Issuance of $100 Million Incremental Term Loan

Amsterdam, 15 April 2024 AMG Critical Materials N.V. (“AMG”, EURONEXT AMSTERDAM: “AMG”) is pleased to announce that it has entered into a new $100 million incremental term loan, structured as a fungible add-on to the existing $350 million senior secured term loan. The $100 million incremental term loan has the same pricing, terms and 2028 maturity as the existing $350 million term loan. AMG will use the proceeds of the new incremental term loan for general corporate purposes and lithium resource development.

Moody’s Investors Service affirmed our Ba2 rating to the increased senior secured term loan, affirmed our B1 corporate family rating, and changed their outlook to stable from positive. S&P Global Ratings affirmed our BB- rating on the increased senior secured term loan, affirmed our B+ issuer credit rating, and revised their outlook to stable from positive.

The financing was well received in the debt markets, allowing AMG to secure attractive pricing while enhancing liquidity, improving flexibility and funding future growth opportunities.

HSBC Securities (USA) Inc. (“HSBC”) acted as lead left arranger and bookrunner on the transaction. The joint lead arrangers were HSBC and Citibank, N.A.

Nuclear Fuel from Nuclear Waste: Formation of NewMOX SAS, France

Amsterdam, 4 April 2024 AMG Critical Materials N.V. (“AMG”, EURONEXT AMSTERDAM: “AMG”) is pleased to announce the formation of NewMOX SAS, Grenoble, France, to service the nuclear fuel market. NewMOX is a subsidiary of ALD Vacuum Technologies GmbH, Hanau, Germany (“ALD”), AMG’s engineering subsidiary focused on vacuum furnace technology, which includes sintering furnace systems enabling the production of commercial nuclear fuel from plutonium and depleted uranium (termed “MOX”). ALD’s MOX technology has been applied in Germany, the United States, France, Belgium, the United Kingdom and recently ALD has been delivering such furnace systems to China. ALD – where D stands for Degussa – inherited the MOX technology from Degussa AG, ALD’s former owner (later renamed Evonik AG).

Presently, the total global storage of civil-use plutonium resulting from the reprocessing of used fuel from commercial nuclear power operations stands at 380 tons, and this figure continues to grow with ongoing nuclear power generation. Furthermore, if turned into electricity, this plutonium could power 36 one-gigawatt nuclear power plants for 20 years. Recycling this plutonium would result in “CO2 free” power and a saving of over 2 billion tons of CO2 if measured against a coal dominated grid. It should also be noted that the circularity associated with the conversion of plutonium into MOX reduces uranium mining and therefore further increases the attractiveness of nuclear power in CO2 terms.

The storage of plutonium is extremely costly due to the risks associated with plutonium. The conversion of plutonium into MOX fuel not only eliminates these risks but can be a commercially attractive alternative to storage. As an indicator, the conversion of 380 tons of plutonium into MOX translates at present fuel prices into a commercial value of $15 to $20 billion.

“We are excited that our furnace technology engineering excellence has created a new project which resulted in the formation of NewMOX SAS. We have appointed Serge Bertrand, head of ALD France, Grenoble, where ALD has centered its nuclear technology activities, to be CEO of NewMOX. Dr. Johannes Fachinger, head of nuclear ALD Hanau, will be Chief Technology Officer. Both gentlemen have extensive industry expertise, and most recently were in charge of implementing the MOX furnace technology in a Chinese factory,” said Michael Hohmann, ALD’s CEO.

“The NewMOX business model is simple,” said Dr. Heinz Schimmelbusch, AMG’s CEO. “There is a lot of plutonium stored and the operators of these storage facilities are seeking ways to reduce storage costs; there is the proven ALD MOX sinter furnace technology; and there is a large MOX market which will grow with the development of the emerging SMR (Small Modular Reactor) wave. It is the objective of NewMOX to form partnerships for the construction and operation of a commercial plutonium recycling facility producing MOX fuel starting with conceptual engineering and feasibility studies. This will take time, but this is a very valuable destination. And it qualifies under AMG’s “Double Materiality” standard which combines financial and environmental benefits.”

The declaration by the Dubai 23 conference COP 28 on Climate Change that the tripling of the world’s nuclear energy is essential for defeating Climate Change has opened a new and prospective page for the nuclear industry. AMG Critical Materials N.V. Publishes Agenda for the 2024 Annual General Meeting and Expands Management Board

Amsterdam, 27 March 2024 AMG Critical Materials N.V. (“AMG”, EURONEXT AMSTERDAM: “AMG”) has published its Agenda and Explanatory Notes for the 2024 Annual General Meeting (“AGM”) which will take place on May 8, 2024 at the Hilton Hotel in Amsterdam.

The Agenda carries, amongst other items, the appointment of a new Management Board member. The Supervisory Board has resolved to expand the Management Board to four members, nominating Mr. Michael Connor to the Management Board as Chief Corporate Development Officer, for a term of four (4) years. This additional appointment is necessary due to the company’s current strategic project intensity, with the goal of ensuring effective capital allocation on a global level.

Dr. Heinz Schimmelbusch, Chairman of the Management Board and CEO commented “I am pleased to congratulate Michael on his nomination to the Management Board. I have worked closely with him since he joined the Company in 2010 and have seen firsthand his important contributions to AMG’s success. The Agenda furthermore carries the reappointment of Mr. Jackson Dunckel (CFO) as a member of the Management Board for a term of four (4) years, and reappointment of Dr. Donatella Ceccarelli as a member of the Supervisory Board for a term of two (2) years. Given the rotation schedule of the Supervisory Board and the retirement of Professor Hanke and Mr. Depp in 2025, the Supervisory Board has resolved, in order to prepare for an orderly transition, to expand its resources in 2024 to create a Board with seven (7) members at the AGM in May 2024. (“AMG”, EURONEXT AMSTERDAM: “AMG”) is pleased to announce that AMG Vanadium has acquired a suite of processing technologies and IP related activities from Transformation Technologies Inc. (“TTI”), a US-based company focused on the creation of green energy, green oil and recyclable metals.

TTI has developed a unique technology for thermal treatment of spent catalyst and other oil refinery wastes into valuable products which is highly complementary to AMG’s existing spent catalyst processing technology and know-how. AMG will integrate the TTI technology into its global strategic growth initiatives. AMG and TTI will also cooperate in market development areas where TTI has strong experience in the design and construction of plants using TTI technologies.

(“AMG”, EURONEXT AMSTERDAM: “AMG”) is pleased to announce that LIVA Power Management Systems GmbH (“LIVA”), a wholly owned subsidiary of AMG Critical Materials N.V. has agreed to acquire the Vanadium Redox Flow Battery (“VRFB”) activities from J.M. VOITH SE & CO. KG (“VOITH”).

VOITH has developed a unique technology for controlling and balancing large-scale high-voltage VRFB energy storage systems. The technology compliments LIVA´s large scale VRFB systems. LIVA will integrate this technology into its large-scale energy storage systems.

LIVA and VOITH will cooperate in their activities in the field of industrial and grid-scale energy storage systems in the future.
