AMG Critical Materials N.V. Publishes Agenda for the 2024 Annual General Meeting and Expands Management Board

Amsterdam, 27 March 2024 AMG Critical Materials N.V. („AMG“, EURONEXT AMSTERDAM: „AMG“) has published its Agenda and Explanatory Notes for the 2024 Annual General Meeting (“AGM”) which will take place on May 8, 2024 at the Hilton Hotel in Amsterdam.

The Agenda carries, amongst other items, the appointment of a new Management Board member. The Supervisory Board has resolved to expand the Management Board to four members, nominating Mr. Michael Connor to the Management Board as Chief Corporate Development Officer, for a term of four (4) years. This additional appointment is necessary due to the company’s current strategic project intensity, with the goal of ensuring effective capital allocation on a global level.

Dr. Heinz Schimmelbusch, Chairman of the Management Board and CEO commented “I am pleased to congratulate Michael on his nomination to the Management Board. I have worked closely with him since he joined the Company in 2010 and have seen firsthand his important contributions to AMG’s success. Michael’s extensive strategic, financial, and operational knowledge, as well as his leadership and management skills, will be invaluable assets to the Board. This updated Management Board complements the new corporate structure exceptionally well and helps ensure the Company will maintain its sound leadership into the future.”

The Agenda furthermore carries the reappointment of Mr. Jackson Dunckel (CFO) as a member of the Management Board for a term of four (4) years, and reappointment of Dr. Donatella Ceccarelli as a member of the Supervisory Board for a term of two (2) years. Given the rotation schedule of the Supervisory Board and the retirement of Professor Hanke and Mr. Depp in 2025, the Supervisory Board has resolved, in order to prepare for an orderly transition, to expand its resources in 2024 to create a Board with seven (7) members at the AGM in May 2024. The Supervisory Board is very pleased that Ms. Dagmar Bottenbruch is prepared to rejoin AMG’s Supervisory Board as an independent member, and to secure continuity given her past experience and successful track record as a Supervisory Board member and member of the Remuneration Committee until 2023. The Supervisory Board will therefore nominate Ms. Bottenbruch for appointment at the AGM on May 8, 2024 as an independent member of the Supervisory Board for a term of four (4) years.

Shareholders will have the option to exercise voting rights by providing voting instructions prior to the AGM in accordance with the (proxy) voting procedures.

The Agenda and Explanatory Notes, including instructions for shareholders to attend the meeting and/or to exercise their voting rights, are available to investors and other interested parties via the AMG website (www.amg-nv.com).

About Transformation Technologies Inc.

Transformation Technologies was incorporated in 2018 by merging three successful environmental technology companies. The companies all had over 25 years of experience in waste-to-energy, waste-to-beneficial use, and climate control technologies. The technologies created by all three companies were contributed and created the building blocks for a circular solutions company. The goal of the merging companies was to create solutions for environmental problems with an emphasis on recycling. All solutions created are from proven technologies that are componentized into process flows that leave a zero-waste footprint. The focus is the creation of green energy, green oil, and recyclable metals. Transformation Technologies has focused their efforts on green oil in the Middle East and Green Energy and Metals recycling in Asia.

AMG Brazil Signs MOU for Development of Lithium Concentrate Production

Amsterdam, 17 August 2023 AMG Critical Materials N.V. („AMG“, EURONEXT AMSTERDAM: „AMG“) announces that AMG Brasil S.A. (“AMG Brazil”), has signed an exclusive memorandum of understanding (“MOU”) with Grupo Lagoa, which operates a pegmatite mine supplying the Portuguese ceramic and glass industry since 1984. The intention of the partnership is to concentrate the lithium minerals contained in the pegmatite to produce commercial grade Spodumene concentrate.

To date, we have performed comprehensive metallurgical tests on a laboratory scale and have confirmed a viable mineral processing route to convert a representative sample of 1.1% Li2O yielding an output of 5.6% Li2O spodumene concentrate at 15.5% mass recovery and 76.2% metallurgical recovery. This partnership presents a unique opportunity for both parties, as we can significantly leverage AMG’s operating experience in Brazil due to the similarities of our mine and operations. Leveraging our experience in Brazil, the planned process will allow for the continued supply of ceramic & glass materials to local customers.

Basic engineering of a sizeable Pilot Plant with a capacity to process up to 80,000 tonnes per annum of pegmatite has been initiated. Additional geological studies, including diamond drilling, are currently being conducted to confirm present estimates of the size and quality of the resources which we believe will support an industrial Spodumene operation similar in size to our existing Brazilian operations. The industrial plant will be pursued subject to permitting from the relevant Portuguese authorities and other concerned stakeholders, the successful operation of the pilot plant, and confirmation of the available resource base.

Fabiano Costa, President of AMG Brazil, commented, “The intended joint venture is targeting the development of a lithium operation similar to AMG Brazil. Producing spodumene concentrate in Europe is a key part of AMG Lithium’s overall integration strategy.”

AMG Lithium and Fortum Battery Recycling Oy Sign MoU for Supply of Recycled Lithium Hydroxide

Amsterdam, 24 May 2023 AMG Critical Materials N.V. („AMG“, EURONEXT AMSTERDAM: „AMG“) announces its wholly owned subsidiary, AMG Lithium GmbH (“AMG Lithium”), has signed a non-binding memorandum of understanding (“MOU”) with Fortum Battery Recycling Oy (OMX: FORTUM), a Nordic clean energy provider.

Fortum’s all new commercial scale hydrometallurgical plant in Harjavalta is able to efficiently recover valuable metals from old electric vehicle lithium-ion batteries while also recycling various waste fractions derived throughout the battery supply chain. According to the signed MoU, the lithium product recovered by Fortum Battery Recycling will be delivered to AMG Lithium for further processing.

“We are very excited to be cooperating with AMG Lithium on this important project. We were looking for a partner who shared our vision for the future and was as committed to sustainability and lowering their carbon footprint as we are – and we found that in AMG Lithium,” says Fortum’s Tero Holländer, Head of the Battery business line, Fortum Battery Recycling.

“The agreement with AMG is also a great testament to the significance of our newly opened Harjavalta plant for the European battery recycling industry, highlighting the increased need for recycled battery materials and demand for new efficient and sustainable solutions. Through this cooperation, Fortum is the first company that can offer a true European closed loop solution for the automotive and battery industry,” Holländer continues.

Together, AMG Lithium and Fortum Battery Recycling aim to improve the entire battery recycling chain, contribute to reducing its CO2 footprint, and reduce the European battery value chain’s dependency on raw material imports.

“This MOU represents another important step towards an independent and sustainable lithium supply chain for Europe,” said Dr. Stefan Scherer, CEO of AMG Lithium GmbH. “We are looking forward to working together with Fortum in order to de-carbonize and improve the battery recycling lithium supply chain in Europe.”
