Amsterdam, 22 October 2012 (Regulated Information) — AMG Advanced Metallurgical Group N.V. (“AMG”, EURONEXT AMSTERDAM: “AMG”) announces that the merger between AMG’s subsidiary, AMG Mining AG, and Graphit Kropfmühl AG (“GK”) has become effective with the registration of the merger in the commercial register of AMG Mining AG. The shares of GK will soon cease trading on the Deutsche Börse.
The GK Annual General Meeting on 27 August 2012 approved a resolution to transfer the shares of minority shareholders to the majority shareholder in return for a cash compensation of EUR 31.92 per share pursuant to Sec. 62 Para. 5 of the German Transformation Act in conjunction with sections 327a et seq. of the German Stock Corporation Act. The transfer of the shares has become effective simultaneously with the registration of the merger in the commercial register of AMG Mining AG by the Munich district court. Therefore all shares from minority shareholders of Graphit Kropfmühl AG have been transferred to the majority shareholder, AMG Mining AG, and Graphit Kropfmühl AG ceased to exist.

AMG Mining produces critical materials such as high purity natural graphite and silicon metal. These materials are of significant importance to the global economy and are available in limited supply. End markets for these materials include electronics, energy efficiency, green energy and infrastructure.
